Ultimate fact


It is a conclusive fact which is the result of a logical deduction from evidences produced in a matter going on in trial. For e.g., finger print of the alleged or video tape showing alleged commitment of act, may be treated as ultimate fact.

Ultra vires


It means beyond the prescribed authority, or beyond the jurisdiction prescribed by the Constitution or Rule of law.

Ultrahazardous activity


Any activity which is inherently dangerous in such a way that the individual conducting the same will be strictly liable for the injury caused due to such activity.

Unclean hands


It is a legal doctrine which can be used as a defense to a complaint, which states that a party to the litigation cannot claim relief from the court/forum where he is present, if he is guilty or has done anything unethical in relation to the subject of the lawsuit.

Unconscionable


It means an agreement or a contract which clearly favors only party to a contract and is so unreasonable, that no prudent or informed person would agree to it. It is similar to a contract, where one party has taken advantage over another person.

Unconstitutional


It can mean any provision, statute, governmental conduct, legislative action or judicial decision, which is violative of the provisions of the Constitution.

Under the influence


It a phrase which can be used to show the condition of a person in the state of drunkenness or him being high on drugs. For example, the defendant has shot the appellant under the influence of alcohol or drug.

Underwrite


It means to guarantee purchase of all shares issued by a corporation, in case the public does not buy all those shares or bonds; Or, to guarantee investment in any business project; Or, to agree to pay for an obligation which may arise from an insurance policy.

Underwriter


It can be an agent, a company or a person who underwrites an insurance policy or issues corporate securities to help a business project in their capital formation.

Undisclosed principal


An entity or an individual which uses an agent in his behalf for all its negotiations with a third party.

Undivided interest


It is a situation where the title to real property in question is held by two or more parties without specifying their interest by percentage or description of a portion of the real estate.

Undue influence


It means the advantageous position which on party have over another either on account of blood relationship, employer-employee relationship or any other influential relationship, and the said party uses such position to exploit benefit from the other party in a contract.

Unfair competition


Wrongful and fraudulent business methods to gain unfair advantage over business competitors, by way of posting misleading advertisements, imitating trademark of another entity, falsely disparaging another's product. It can be a basis for initiating legal action under Monopolistic & Restrictive Trade Practices, which is now Competition Act.

Uniform commercial code


It is a set of rule/principle/statute/enactment which governs the conduct of corporate dealings, sales, warranties or negotiable instruments.

Unilateral contract


It means an agreement to pay in exchange for performance, if the performer party chooses to act.

Uninsured motorist clause


It is a clause in an automobile insurance policy which states that if the owner of the automobile is injured by a negligent driver of another vehicle who does not have liability insurance, then the insurance company will pay its insured's actual damages.

Unissued stock


The shares or debentures out of the authorized share capital of a company or a body corporate, which is never issued to the general public for subscription.

Unjust enrichment


It is a situation where one person is unjustly or by chance enriched at the expense of another, and an obligation to make restitution arises, regardless of liability for wrongdoing. For example, when a party contracts to provide a service, but the contract is terminated prematurely due to a breach, and the contractor unjustly receives no compensation for partial services rendered.
